Company secretarial

Company Secretary & Sdn Bhd Incorporation

Company secretarial work in our group is carried out by C & C, which holds the licence. Where C & C is appointed as your company secretary, incorporation is free of charge — SSM's registration fee included — and the company is then kept compliant, with the statutory records matching what actually happened in the business.

The four stages of incorporating a Sdn Bhd: name search, directors and shares, incorporation with the SSM fee included, and appointment of the company secretary.
How an incorporation proceeds, from name search to a company ready to open a bank account.

Incorporating a Sdn Bhd

Every private limited company in Malaysia must appoint a qualified company secretary within 30 days of incorporation. C & C acts in that role from day one, so there is no gap between registering the company and being compliant.

Incorporation covers the name search and reservation with SSM, the constitution, first directors' and shareholders' appointments, share allotment, the statutory registers, and the Section 17 and 58 filings. You'll have the company number, the certificate and a bank-ready document set.

What you'll need to provide

  • Three preferred company names, in order.
  • IC or passport copies and proof of residential address for every director and shareholder.
  • The intended business activity and MSIC code — we will assist in selecting it, as an incorrect code creates difficulty with licensing and bank accounts later.
  • Paid-up capital and the shareholding split.

Bear in mind the paid-up capital figure interacts with your eligibility for the SME preferential tax rate — worth a conversation with us, and with our tax team, before you fix the number.

Ongoing secretarial work

  • Annual return filed with SSM within the statutory window each year.
  • Circulation of audited financial statements to members and lodgement with SSM.
  • Directors' and members' resolutions — drafted properly, not backdated the week the auditor asks.
  • Changes in particulars — new directors, resignations, address changes, name changes, increases in share capital.
  • Share transfers — instruments of transfer, stamping and updating the register of members.
  • Registered office address in Malaysia, with mail from SSM and LHDN scanned to you the day it arrives.
  • Striking off for companies that are genuinely finished trading, so they stop accruing obligations.

Indicative fees

  • Sdn Bhd incorporation — free, SSM registration fee included, where C & C is appointed as your company secretary. See the package above.
  • Annual secretarial retainer — a fixed yearly fee covering the annual return, registered office and routine resolutions.
  • Ad-hoc filings — quoted per transaction; most changes in particulars are a few hundred ringgit including the SSM lodgement fee.

Company secretarial fees are charged separately from any accounting or bookkeeping engagement, and are quoted in writing on their own terms.

Why the statutory records actually matter

Company secretarial work looks like paperwork until the moment it isn't. When a bank assesses a facility, when an investor does due diligence, when a shareholder dispute starts, or when a director wants out — the registers, resolutions and filings are the evidence of who owns what and who approved what. Records that were assembled retrospectively tend to fall apart under exactly that scrutiny. We keep them current as things happen.

Company secretarial questions

How long does it take to register a Sdn Bhd?
Name reservation with SSM comes first, once we have your three preferred names, and incorporation follows as soon as all director and shareholder documents are in order. The most common delay is incomplete address proof, so we check documents before submitting.
Can I change my current company secretary to you?
Yes, and it's routine. Your existing secretary resigns or is removed by resolution, we're appointed, and the statutory records and registers are transferred. We handle the SSM filings for the change. The first matter to establish is whether any filings are outstanding; we review that before quoting.
Do I need a physical office in Malaysia to register a company?
You need a registered office address in Malaysia, which is where official correspondence is served — it doesn't have to be where you trade. We provide a registered office in Malaysia as part of the secretarial retainer and forward everything to you digitally.
What happens if I don't file my annual return?
Late filing attracts penalties, and prolonged non-compliance can lead to the company being struck off and to enforcement action against the directors personally. If you've fallen behind, come to us with the details — bringing old filings up to date is usually straightforward and far cheaper than leaving it.
